    1. Introduction

    Welcome to iAGM Solutions. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Invenio Potential Sdn. Bhd. ("Company", "we", "us", "our"), governing your access to and use of the iAGM Solutions platform ("Platform", "Service").

    By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

    Important: These Terms include provisions regarding limitation of liability, indemnification, and dispute resolution. Please read them carefully.

    2. Definitions

    In these Terms, the following definitions apply:

    • "Organization" means a housing scheme, society, club, or corporate entity that registers on the Platform to manage meetings.
    • "Organization Owner" means the user who created and owns an Organization account.
    • "Administrator" means a user granted administrative access to manage meetings within an Organization.
    • "Participant" means an individual registered to attend and vote in meetings.
    • "Meeting" means an Annual General Meeting (AGM) or similar gathering managed through the Platform.
    • "Content" means any data, text, files, documents, or materials uploaded to or generated through the Platform.

    3. Account Registration

    3.1 Eligibility

    You must be at least 16 years of age to use our Platform. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

    3.2 Account Information

    You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

    3.3 Account Security

    You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss arising from unauthorized access to your account due to your failure to protect your credentials.

    4. Services Description

    iAGM Solutions provides a cloud-based platform for managing Annual General Meetings, including:

    • Electronic voting and vote tallying
    • Proxy vote management and tracking
    • Attendance registration and quorum calculation
    • Board nomination processing
    • Video conferencing integration via Zoom
    • Real-time analytics and reporting
    • Document management and distribution
    • QR code-based check-in

    We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice where practicable.

    5. Pricing & Payment

    5.1 Fee Structure

    Our Services are offered on a pay-per-meeting basis. Fees consist of:

    • Registration Fee: A one-time fee of RM100 payable upon organization registration
    • Meeting Fee: Variable fees based on organization type, meeting format (Virtual, Physical, or Hybrid), and number of units/members
    • Minimum Charge: Each meeting is subject to a minimum charge based on meeting format

    Current pricing is published on our website and may be updated from time to time. We will provide 30 days' notice of any pricing changes.

    5.2 Payment Terms

    • Payment is due upon meeting creation and must be completed before the meeting can be activated
    • All payments are processed securely through Stripe
    • All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise
    • We accept major credit cards and debit cards

    5.3 Invoicing

    Electronic invoices will be issued upon successful payment and sent to your registered email address. Invoices are available for download through your account dashboard.

    6. Refund Policy

    We offer refunds for meeting fees based on the following schedule:

    6.1 Refund Process

    • Refund requests must be submitted in writing to our support team
    • The meeting date used for calculation is the originally scheduled date
    • Approved refunds will be processed within 14 business days
    • Refunds will be credited to the original payment method

    6.2 Non-Refundable Fees

    The one-time registration fee of RM100 is non-refundable under any circumstances.

    6.3 Exceptional Circumstances

    We may, at our sole discretion, consider refund requests outside of this policy in exceptional circumstances such as force majeure events. Such requests will be evaluated on a case-by-case basis.

    7. User Obligations

    As a user of our Platform, you agree to:

    • Comply with all applicable Malaysian laws and regulations
    • Ensure that participant data imported to the Platform is collected with proper consent
    • Use the Platform only for legitimate AGM and meeting management purposes
    • Maintain accurate and up-to-date information in your account
    • Protect your login credentials and notify us immediately of any unauthorized access
    • Respect the intellectual property rights of others
    • Not interfere with or disrupt the Platform's operation or security

    8. Acceptable Use

    You agree NOT to use the Platform to:

    • Conduct fraudulent activities or misrepresent voting results
    • Upload or transmit viruses, malware, or other harmful code
    • Attempt to gain unauthorized access to systems or data
    • Harvest or collect user information without authorization
    • Engage in activities that violate the rights of others
    • Circumvent or manipulate the voting system
    • Use automated systems to access the Platform without our permission
    • Violate any applicable laws or regulations, including the Personal Data Protection Act 2010

    We reserve the right to suspend or terminate accounts that violate these acceptable use policies.

    9. Intellectual Property

    9.1 Our Intellectual Property

    The Platform, including its software, design, logos, trademarks, and all related intellectual property, is owned by Invenio Potential Sdn. Bhd. and is protected by Malaysian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purposes.

    9.2 Restrictions

    You may not copy, modify, distribute, sell, or lease any part of our Platform or its content, nor may you reverse engineer or attempt to extract the source code unless permitted by law.

    10. Data Ownership

    10.1 Your Data

    You retain all ownership rights to the Content you upload to the Platform. By using our Services, you grant us a limited license to use, store, and process your Content solely for the purpose of providing the Services.

    10.2 Data Export

    You may export your data at any time through the Platform's export features. Upon account termination, we will provide reasonable assistance to export your data upon request.

    10.3 Aggregated Data

    We may use anonymized, aggregated data derived from Platform usage for analytical purposes and service improvement. Such data will not identify you or any individual participant.

    11. Service Level Agreement

    11.1 Uptime Commitment

    We commit to maintaining 99.9% Platform availability, measured on a monthly basis. This excludes scheduled maintenance windows, which will be communicated at least 48 hours in advance.

    11.2 Support Response Times

    We provide customer support with the following target response times:

    11.3 SLA Credits

    If we fail to meet our uptime commitment, you may be eligible for service credits. Credits are calculated as a percentage of the monthly fee and must be requested within 30 days of the incident.

    12. Limitation of Liability

    12.1 Service Provided "As Is"

    To the maximum extent permitted by Malaysian law, our Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    12.2 Limitation of Damages

    To the maximum extent permitted by law, in no event shall the Company, its directors, employees, or agents be liable for:

    • Any indirect, incidental, special, consequential, or punitive damages
    • Loss of profits, revenue, data, or business opportunities
    • Damages arising from interruption of service or loss of access
    • Damages resulting from third-party services or integrations

    12.3 Maximum Liability

    Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any Content you upload or submit through the Platform.

    14. Termination

    14.1 Termination by You

    You may terminate your account at any time by contacting our support team. Upon termination, you will lose access to the Platform and your data will be handled according to our Privacy Policy.

    14.2 Termination by Us

    We may suspend or terminate your access to the Platform immediately, without prior notice, if:

    • You breach any provision of these Terms
    • You engage in fraudulent or illegal activities
    • You fail to pay applicable fees
    • Your use poses a security risk to the Platform or other users
    • Required by law or legal process

    14.3 Effect of Termination

    Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

    15. Dispute Resolution

    Any dispute arising from or relating to these Terms or the Services shall be resolved through the following process:

    15.1 Good Faith Negotiation

    The parties shall first attempt to resolve any dispute through good faith negotiations for a period of thirty (30) days from the date written notice of the dispute is provided.

    15.2 Mediation

    If negotiation fails, the parties agree to attempt resolution through mediation administered by a mutually agreed mediator in Johor Bahru, Malaysia. The costs of mediation shall be shared equally.

    15.3 Litigation

    If mediation is unsuccessful, either party may pursue litigation in the courts of Malaysia, with exclusive jurisdiction vested in the courts of Johor.

    16. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Johor, Malaysia, and you hereby consent to the personal jurisdiction and venue therein.

    17. General Provisions

    17.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the use of the Platform and supersede all prior agreements and understandings.

    17.2 Severability

    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

    17.3 No Waiver

    Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

    17.4 Assignment

    You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

    17.5 Force Majeure

    Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemics, or infrastructure failures.

    17.6 Amendments

    We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.
